Welcome to the Analytix9 Client Portal, operated by Adronik Digital Marketing LLP ("Analytix9," "Company," "we," "our," or "us").

These Client Portal Terms of Use ("Portal Terms") govern your access to and use of the Analytix9 Client Portal, Employee Portal, Customer Relationship Management (CRM) platform, project dashboard, billing portal, support system, document repository, communication tools, and any related online services (collectively, the "Portal").

These Portal Terms form a legally binding agreement between you and Analytix9.

By creating an account, accessing, or using the Portal, you acknowledge that you have read, understood, and agree to be bound by these Portal Terms.

If you do not agree to these Portal Terms, you must not access or use the Portal.

1. Purpose of the Client Portal

The Portal is provided to facilitate secure communication and collaboration between Analytix9 and its authorized users.

Depending on your role and permissions, the Portal may allow you to:

  • View project progress
  • Access project documentation
  • Submit support requests
  • Upload and download files
  • Exchange messages with our team
  • Review invoices and payment information
  • Access reports and analytics
  • Review marketing campaign performance
  • Review website development progress
  • Approve quotations, proposals, milestones, or deliverables
  • Receive notifications and announcements
  • Manage account information
  • Access other services made available by Analytix9

Access to specific features is determined by your assigned permissions and the services you have purchased.




2. Definitions

For the purposes of these Portal Terms:

"Portal" means the Analytix9 online client and employee platform, including all associated applications, dashboards, and services.

"Account" means an authenticated user profile created for accessing the Portal.

"Client" means any individual, company, organization, or other entity that has engaged Analytix9 to provide services.

"Authorized User" means an individual whom a Client has authorized to access the Portal on its behalf or an employee, contractor, or representative authorized by Analytix9.

"Content" means any information, documents, files, messages, comments, images, videos, data, software, code, or other material available through or submitted to the Portal.

"Services" means the professional services provided by Analytix9.




3. Eligibility

You may use the Portal only if:

  • You have been granted access by Analytix9 or an authorized Client.
  • You are legally capable of entering into binding agreements under applicable law.
  • You provide accurate and complete registration information.
  • Your access has not previously been suspended or terminated by Analytix9.
  • Your use of the Portal complies with these Portal Terms and all applicable laws.

If you access the Portal on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Portal Terms.




4. Account Registration

To access certain Portal features, you may be required to create or activate an Account.

When registering, you agree to:

  • Provide accurate, complete, and current information.
  • Maintain and promptly update your account information.
  • Use a valid email address under your control.
  • Provide information requested for identity verification where reasonably required.
  • Not create duplicate accounts without authorization.
  • Not impersonate another person or organization.
  • Not register using false, misleading, or fraudulent information.

Analytix9 reserves the right to verify registration information and may refuse, suspend, or terminate Accounts where false or misleading information is provided.




5. Account Credentials and Security

You are solely responsible for maintaining the confidentiality of your login credentials, including your username, password, authentication codes, recovery information, and any other security credentials associated with your Account.

You agree to:

  • Keep your credentials confidential.
  • Use a strong, unique password.
  • Not disclose your credentials to unauthorized persons.
  • Secure devices used to access the Portal.
  • Log out after using shared or public devices.
  • Notify Analytix9 immediately if you suspect unauthorized access to your Account or security credentials.

Except where caused by our failure to exercise reasonable security measures or other liability that cannot be excluded by law, you are responsible for activities occurring under your Account until you notify us of unauthorized use.




6. Multi-Factor Authentication (MFA)

Where available or required, Analytix9 may require the use of multi-factor authentication (MFA) as an additional security measure.

You agree to comply with any MFA requirements applicable to your Account.

Failure to maintain required authentication methods may result in temporary suspension of access until verification is completed.




7. Authorized Users

A Client may designate one or more Authorized Users to access the Portal on its behalf.

The Client is responsible for:

  • Selecting Authorized Users.
  • Ensuring Authorized Users comply with these Portal Terms.
  • Managing user permissions.
  • Requesting the removal of users who no longer require access.
  • Promptly notifying Analytix9 of changes in personnel or authorized representatives.

Actions taken by an Authorized User within the Portal will be deemed to have been authorized by the Client unless the Client has previously notified Analytix9 that such user's access should be revoked.




8. Employee Accounts

Employee, contractor, consultant, or internal staff Accounts are provided solely for authorized business purposes.

Such users may access only the information and systems necessary to perform their assigned responsibilities.

Employee Accounts remain the property of Analytix9 and may be modified, restricted, suspended, or terminated at any time in accordance with applicable law and company policies.

Employees and contractors must maintain the confidentiality of all client information accessed through the Portal and must not disclose or use such information except as required to perform their authorized duties.




9. Client Responsibilities

Clients are responsible for:

  • Providing accurate information.
  • Keeping contact details current.
  • Maintaining the security of their own systems and devices.
  • Reviewing Portal notifications and communications promptly.
  • Responding to requests for approvals or information within a reasonable time.
  • Ensuring that uploaded content complies with applicable laws.
  • Maintaining backups of their own critical business information where appropriate.
  • Ensuring that only authorized individuals access their Portal Account.

Failure to fulfill these responsibilities may delay services or affect project timelines, and Analytix9 shall not be responsible for resulting delays attributable to the Client.




10. Access Restrictions

Your access to the Portal is limited to the permissions granted to your Account.

You agree that you will not:

  • Access areas of the Portal for which you are not authorized.
  • Attempt to bypass security controls.
  • Access another user's Account.
  • Share credentials with unauthorized individuals.
  • Circumvent authentication mechanisms.
  • Use automated scripts or bots to access the Portal without written authorization.
  • Attempt to discover or exploit vulnerabilities.
  • Copy, extract, or scrape Portal data except as expressly permitted.
  • Interfere with the operation or security of the Portal.

Analytix9 reserves the right to investigate suspected violations and to suspend or terminate access where appropriate.




11. Electronic Communications

By using the Portal, you consent to receive communications electronically, including:

  • Project updates
  • Support responses
  • Service notifications
  • System alerts
  • Maintenance notices
  • Security notifications
  • Invoices
  • Payment confirmations
  • Contractual notices
  • Policy updates

Electronic communications delivered through the Portal or to your registered email address will satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law.




12. Electronic Records and Approvals

The Portal may enable you to electronically review, approve, acknowledge, or accept documents, quotations, proposals, invoices, project milestones, deliverables, or other records.

Where permitted by applicable law:

  • Electronic approvals, acknowledgements, and confirmations submitted through the Portal shall have the same legal effect as handwritten signatures.
  • Records maintained by Analytix9 regarding Portal activity, including timestamps, audit logs, IP addresses, user identifiers, and system logs, may be used as evidence of actions taken within the Portal.
  • You are responsible for reviewing documents carefully before providing any electronic approval or confirmation.



13. Availability of the Portal

Analytix9 endeavors to keep the Portal available and operational; however, continuous or uninterrupted access cannot be guaranteed.

The Portal may become temporarily unavailable due to:

  • Scheduled maintenance.
  • Security updates.
  • Software upgrades.
  • Hardware failures.
  • Network interruptions.
  • Internet service disruptions.
  • Third-party service outages.
  • Emergency maintenance.
  • Events beyond our reasonable control.

Except where required by applicable law or expressly agreed in writing, Analytix9 does not guarantee uninterrupted availability of the Portal and shall not be liable for temporary interruptions outside its reasonable control.

Part 2 – Acceptable Use, Client Data, Communications, Monitoring & Account Management




14. Acceptable Use of the Portal

The Portal is provided solely for legitimate business purposes related to the services offered by Analytix9.

You agree to use the Portal responsibly, lawfully, and in accordance with these Portal Terms.

You shall not use the Portal in any manner that could interfere with its operation, compromise its security, infringe the rights of others, or violate applicable laws or regulations.




15. Prohibited Activities

Without limiting the generality of the foregoing, you agree that you will not:

  • Attempt to gain unauthorized access to the Portal, servers, databases, APIs, or networks.
  • Share, sell, transfer, sublicense, or permit unauthorized persons to use your Account.
  • Use another user's credentials.
  • Attempt to bypass authentication or access control mechanisms.
  • Circumvent user permissions or security features.
  • Upload malware, ransomware, spyware, trojans, worms, viruses, or other malicious code.
  • Perform vulnerability scanning, penetration testing, or security testing without our prior written authorization.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Portal except where expressly permitted by applicable law.
  • Interfere with or disrupt the operation, availability, or performance of the Portal.
  • Launch denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.
  • Use automated bots, crawlers, scrapers, or scripts without our written permission.
  • Harvest user information or confidential data.
  • Attempt privilege escalation or unauthorized administrative access.
  • Use the Portal to distribute spam, phishing messages, chain letters, or unsolicited communications.
  • Upload or distribute unlawful, defamatory, fraudulent, obscene, or infringing content.
  • Misrepresent your identity or authority.
  • Use the Portal for any illegal or unauthorized purpose.

Violation of this section may result in immediate suspension or termination of access and may also expose you to civil or criminal liability.




16. File Uploads and Client Content

The Portal may permit users to upload, transmit, or share files, documents, images, videos, spreadsheets, source code, databases, creative assets, or other materials ("Client Content").

You represent and warrant that:

  • You own the Client Content or have sufficient rights and permissions to upload it.
  • Uploading or sharing the Client Content does not infringe any intellectual property, privacy, confidentiality, or other legal rights.
  • The Client Content complies with all applicable laws and regulations.
  • The Client Content does not contain malware, malicious code, or harmful software.

Analytix9 reserves the right to remove or restrict access to Client Content that we reasonably believe violates these Portal Terms, applicable law, or the rights of others.




17. Client Data Ownership

Except as otherwise agreed in writing, all business information, project materials, documents, creative assets, customer information, and other data uploaded by or on behalf of the Client remain the property of the Client or its respective licensors.

Nothing in these Portal Terms transfers ownership of Client Content to Analytix9.

However, by submitting Client Content through the Portal, the Client grants Analytix9 a non-exclusive, worldwide, royalty-free license, for the duration of the applicable engagement, to host, store, access, reproduce, transmit, process, display, and otherwise use such Client Content solely as reasonably necessary to provide the contracted services, maintain the Portal, comply with legal obligations, and protect our legitimate business interests.

This license automatically terminates upon the conclusion of the applicable services, subject to any legal, regulatory, backup, archival, or record-retention obligations.




18. Portal Communications

The Portal may provide messaging, commenting, notifications, support requests, task updates, or other communication features.

Users agree that communications submitted through the Portal:

  • Must be professional and respectful.
  • Must not contain abusive, threatening, discriminatory, defamatory, or unlawful content.
  • Must not include malware or malicious links.
  • Must not intentionally contain false or misleading information.
  • Must relate to legitimate business matters associated with the services provided.

Analytix9 reserves the right to moderate, retain, or remove communications where reasonably necessary to maintain security, legal compliance, or operational integrity.




19. Project Reviews, Approvals, and Acceptance

The Portal may allow Clients to review and approve:

  • Quotations
  • Statements of Work
  • Project proposals
  • Creative assets
  • Advertisements
  • Landing pages
  • Website designs
  • Development milestones
  • Deliverables
  • Invoices
  • Other project-related materials

Where a Client provides an electronic approval, acceptance, confirmation, or authorization through the Portal, such action shall, to the extent permitted by applicable law, be deemed binding on the Client.

The Client is responsible for reviewing all materials carefully before providing approval.

Analytix9 shall not be responsible for errors, omissions, or issues arising from materials that were approved by the Client unless such issues result from subsequent changes made by Analytix9 without the Client's authorization.




20. Audit Logs and Activity Records

To protect the integrity and security of the Portal, Analytix9 may maintain records of user activity, including but not limited to:

  • Login and logout events.
  • Dates and times of access.
  • Account identifiers.
  • IP addresses.
  • Browser and device information.
  • File uploads and downloads.
  • Document approvals.
  • User actions within the Portal.
  • System-generated events.
  • Security events and alerts.

These records may be used for security monitoring, fraud prevention, troubleshooting, dispute resolution, regulatory compliance, service improvement, and the enforcement of these Portal Terms.




21. Monitoring and Security

To maintain the security, stability, and integrity of the Portal, Analytix9 may monitor Portal activity where reasonably necessary for legitimate business purposes, including:

  • Detecting unauthorized access attempts.
  • Preventing fraud.
  • Investigating suspected security incidents.
  • Identifying malware or malicious activity.
  • Diagnosing technical issues.
  • Protecting client data.
  • Ensuring compliance with these Portal Terms.

Monitoring is conducted in accordance with our Privacy Policy and applicable laws.




22. Third-Party Integrations

The Portal may integrate with third-party services, including but not limited to:

  • Google Workspace
  • Microsoft 365
  • Google Ads
  • Meta Business Platform
  • Google Analytics
  • Stripe
  • Razorpay
  • PayPal
  • Cloudflare
  • Slack
  • Zoom
  • Dropbox
  • Other approved business applications

The availability, functionality, and performance of these integrations depend on the respective third-party providers.

Analytix9 does not guarantee uninterrupted availability, compatibility, or continued support for any third-party integration and is not responsible for outages, changes, or discontinuation of third-party services beyond our reasonable control.




23. Account Suspension

Analytix9 reserves the right to suspend or restrict access to the Portal, with or without prior notice where reasonably necessary, if we believe that:

  • These Portal Terms have been violated.
  • Fraudulent activity has occurred.
  • Unauthorized access is suspected.
  • Security has been compromised.
  • False information has been provided.
  • Payment obligations remain outstanding where applicable.
  • Continued access presents a security, legal, or operational risk.
  • Suspension is required to comply with applicable law or a lawful request from a competent authority.

During a suspension, access to some or all Portal features may be limited.




24. Termination of Portal Access

Analytix9 may terminate Portal access where:

  • Services have concluded.
  • An Account has remained inactive for an extended period.
  • The Client requests account closure.
  • Continued access is no longer required.
  • These Portal Terms have been materially breached.
  • Termination is required by law.
  • The Client relationship has otherwise ended.

Termination of Portal access does not affect any rights, obligations, payment responsibilities, confidentiality obligations, intellectual property rights, or other provisions intended to survive termination.




25. Data Export and Account Closure

Subject to applicable agreements, legal obligations, and technical limitations, Clients may request the export of certain project-related data before account closure.

Analytix9 may retain certain information following account closure where reasonably necessary to:

  • Comply with legal obligations.
  • Resolve disputes.
  • Enforce agreements.
  • Maintain financial records.
  • Preserve backup systems.
  • Protect legitimate business interests.
  • Detect fraud or security incidents.

Data retention practices are further described in our Privacy Policy and any applicable Data Retention Policy.




26. Reporting Security Incidents

If you become aware of:

  • Unauthorized access.
  • Compromised credentials.
  • Suspected malware.
  • Data breaches.
  • Phishing attempts.
  • Security vulnerabilities.
  • Other suspicious activity involving the Portal,

you agree to notify Analytix9 promptly using our designated contact details.

Prompt reporting helps protect both your account and other Portal users.

Part 3 – Confidentiality, Intellectual Property, Warranties, Liability & General Legal Provisions




27. Confidentiality

The Portal may contain confidential and proprietary information belonging to Analytix9, our clients, business partners, contractors, or other authorized users.

You agree to maintain the confidentiality of all non-public information accessed through the Portal and to use such information solely for the purposes authorized under these Portal Terms and any applicable service agreement.

Unless expressly authorized in writing, you shall not:

  • Copy confidential information except as reasonably necessary.
  • Share Portal information with unauthorized persons.
  • Disclose project information to third parties.
  • Publish screenshots, reports, dashboards, or internal communications.
  • Use confidential information for personal benefit or to compete with Analytix9 or its clients.

These confidentiality obligations survive the termination of your Portal access.




28. Intellectual Property

Except for Client Content owned by the Client, all intellectual property rights relating to the Portal remain the exclusive property of Analytix9 or its licensors.

This includes, without limitation:

  • Portal software
  • Source code
  • Object code
  • User interface design
  • Dashboards
  • Workflows
  • Automations
  • Databases
  • Documentation
  • Templates
  • Internal tools
  • Reports
  • Branding
  • Logos
  • Trade names
  • Graphics
  • Icons
  • APIs
  • Scripts
  • Custom modules
  • Proprietary methodologies

Nothing contained in these Portal Terms grants you ownership of the Portal or any intellectual property belonging to Analytix9.




29. Limited License

Subject to your compliance with these Portal Terms, Analytix9 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Portal solely for your legitimate internal business purposes in connection with the services provided by Analytix9.

This license does not permit you to:

  • Copy the Portal.
  • Modify Portal software.
  • Create derivative works.
  • Resell Portal access.
  • License Portal access to others.
  • Reverse engineer the Portal.
  • Commercially exploit Portal technology.
  • Remove copyright or proprietary notices.

All rights not expressly granted are reserved by Analytix9.




30. Data Security

Analytix9 implements reasonable administrative, technical, and organizational safeguards designed to protect the Portal and information stored within it.

However, no online platform, software system, network, or electronic storage method can be guaranteed to be completely secure.

Accordingly:

  • You acknowledge the inherent risks associated with internet-based services.
  • You remain responsible for protecting your own devices and credentials.
  • Analytix9 cannot guarantee that unauthorized access, cyberattacks, malware, or security incidents will never occur.

In the event of a security incident affecting the Portal, Analytix9 will take reasonable steps to investigate, mitigate, and respond in accordance with applicable law and our internal security procedures.




31. Portal Availability

Analytix9 endeavors to maintain the availability and performance of the Portal but does not warrant that the Portal will be available continuously, uninterrupted, or error-free.

Temporary interruptions may occur due to:

  • Maintenance
  • Security updates
  • Software deployments
  • Hardware failures
  • Internet outages
  • Third-party provider failures
  • Hosting interruptions
  • Cybersecurity incidents
  • Force majeure events

Where reasonably practicable, planned maintenance will be scheduled to minimize disruption.




32. No Warranty

To the fullest extent permitted by applicable law, the Portal is provided on an "as is" and "as available" basis.

Except as expressly provided in a written agreement, Analytix9 disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuous availability
  • Error-free operation
  • Accuracy of third-party information
  • Compatibility with every browser, device, or software environment

Nothing in this section limits warranties that cannot legally be excluded under applicable law.




33. Limitation of Liability

To the fullest extent permitted by applicable law, Analytix9, Adronik Digital Marketing LLP, its partners, directors, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages arising out of or relating to your use of, or inability to use, the Portal.

This includes, without limitation:

  • Loss of business.
  • Loss of revenue.
  • Loss of profits.
  • Loss of customers.
  • Loss of goodwill.
  • Loss of anticipated savings.
  • Loss of productivity.
  • Loss or corruption of data.
  • Service interruptions.
  • Cybersecurity incidents not caused by our failure to exercise reasonable professional care.
  • Internet outages.
  • Third-party hosting failures.
  • Cloud provider outages.
  • Email delivery failures.
  • Authentication failures caused by third-party identity providers.
  • Unauthorized access resulting from compromised user credentials.
  • Delays resulting from client actions or inaction.
  • Losses arising from third-party platform suspensions or restrictions.

Nothing in these Portal Terms excludes liability that cannot legally be excluded or limited under applicable law, including liability for fraud, willful misconduct, or other non-excludable obligations.




34. Indemnification

You agree to defend, indemnify, and hold harmless Analytix9, Adronik Digital Marketing LLP, its partners, directors, employees, contractors, affiliates, and service providers from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Portal Terms.
  • Your misuse of the Portal.
  • Your violation of applicable law.
  • Content uploaded by you that infringes the rights of others.
  • Unauthorized use of your Account resulting from your failure to safeguard your credentials.
  • Your negligent or intentional misconduct.

This obligation does not apply to the extent a claim results directly from Analytix9's own breach of contract, fraud, willful misconduct, or failure to exercise reasonable professional care.




35. Force Majeure

Analytix9 shall not be responsible for delays, interruptions, or failures in Portal performance resulting from events beyond our reasonable control, including but not limited to:

  • Natural disasters.
  • Floods.
  • Earthquakes.
  • Fires.
  • Pandemics.
  • Epidemics.
  • Government actions.
  • Armed conflicts.
  • Civil unrest.
  • Power failures.
  • Telecommunications failures.
  • Internet disruptions.
  • Cyberattacks.
  • Third-party hosting failures.
  • Labor disputes.
  • Acts of God.



36. Governing Law

These Portal Terms shall be governed by and construed in accordance with the laws specified in the governing law provisions of the applicable Client Services Agreement or, where no such agreement exists, the laws governing Adronik Digital Marketing LLP, without regard to conflict of law principles.

Any dispute arising out of or relating to these Portal Terms shall be subject to the courts or dispute resolution mechanisms specified in the applicable service agreement or, if none exists, the courts having jurisdiction over the Company's registered office, unless mandatory law provides otherwise.




37. Severability

If any provision of these Portal Terms is determined by a court or other competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.




38. Waiver

No failure or delay by Analytix9 in exercising any right or remedy under these Portal Terms shall operate as a waiver of that right or remedy.

Any waiver must be in writing and signed by an authorized representative of Analytix9.




39. Assignment

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Portal Terms without the prior written consent of Analytix9.

Analytix9 may assign or transfer its rights and obligations under these Portal Terms as part of a corporate restructuring, merger, acquisition, sale of assets, or other lawful business transaction, subject to applicable law.




40. Entire Agreement

These Portal Terms, together with the applicable Client Services Agreement, Statement of Work, Privacy Policy, Cookie Policy, Terms and Conditions, Refund Policy, Service Disclaimer, and any other documents expressly incorporated by reference, constitute the entire agreement governing your access to and use of the Portal.

In the event of a conflict between these Portal Terms and a separately executed written Client Services Agreement, the terms of that written agreement shall prevail to the extent of the conflict.




41. Changes to these Portal Terms

Analytix9 reserves the right to modify or update these Portal Terms at any time to reflect changes in:

  • Applicable laws.
  • Regulatory requirements.
  • Security practices.
  • Technology.
  • Business operations.
  • Portal functionality.
  • Service offerings.

The revised version will be published within the Portal or on our Website with an updated Effective Date.

Your continued use of the Portal after the effective date of any revision constitutes acceptance of the updated Portal Terms.
