- Do not infringe the rights of third parties.
- Do not violate any law or regulation.
- Do not contain malicious code or harmful software.
- May be lawfully used by us to provide the requested services.
You remain solely responsible for the legality, ownership, and accuracy of materials supplied by you.
9. Communication
Unless otherwise agreed, official communications may be conducted through:
- Telephone
- Video conferencing platforms
- Project management tools
- Client portals
- Written correspondence
Clients are responsible for ensuring their contact information remains current.
Notices sent to the most recent contact details provided by the Client shall be deemed received in accordance with applicable law.
10. Quotations and Proposals
Any quotation, proposal, estimate, or pricing information provided by Analytix9 is:
- Non-binding until accepted by both parties where applicable.
- Based on the information available at the time of preparation.
- Subject to revision if project requirements change.
- Valid only for the period stated in the quotation or, if no period is specified, for thirty (30) days from the date of issue.
Acceptance of a quotation or proposal may occur through written confirmation, payment of an invoice, execution of a service agreement, issuance of a purchase order, or commencement of work.
11. Project Acceptance
A project shall be deemed accepted when any of the following occurs:
- A signed agreement is received.
- A quotation is accepted.
- A purchase order is issued.
- An invoice is paid.
- A deposit is received.
- Written authorization to commence work is provided.
- The Client requests work to begin.
Once accepted, the project will be governed by these Terms and any additional written agreements between the parties.
12. Changes to Services
We continually improve our services and may modify, enhance, suspend, or discontinue certain offerings at our discretion.
Where changes materially affect existing contractual obligations, we will make reasonable efforts to notify affected clients and discuss appropriate adjustments.
13. Third-Party Platforms
Many of our services involve third-party platforms over which we have no control.

Analytix9 is not responsible for outages, policy changes, account suspensions, API limitations, pricing changes, or other actions taken by third-party providers.
Clients remain responsible for complying with the terms, policies, and requirements of any third-party platform they use.
14. Website Usage Rules

- Custom pricing arrangements
Unless specifically stated otherwise, quotations do not include:
- Third-party software licenses
- Advertising spend
- Domain registration fees
- Website hosting fees
- Premium plugins or themes
- Stock photography or video licenses
- Translation services
- Printing costs
- Government fees
- Taxes or duties
- Any third-party costs incurred on behalf of the Client
18. Payment Terms
Invoices are payable according to the payment terms stated in the applicable invoice or agreement.
Unless otherwise agreed in writing:
- Project deposits are due before work commences.
- Milestone payments are due upon completion of the applicable milestone.
- Monthly retainers are payable in advance.
- Final balances are due prior to final delivery or launch.
Failure to make timely payment may result in suspension of work or services.
19. Taxes
Unless expressly stated otherwise, all prices are exclusive of applicable taxes, duties, levies, or governmental charges.
The Client is responsible for paying all applicable taxes imposed by law, excluding taxes based solely on the Company's income.
20. Late Payments
If payment is not received by the due date, Analytix9 reserves the right to:
- Suspend work immediately.
- Pause ongoing campaigns.
- Disable access to deliverables that have not been fully paid for.
- Delay project milestones.
- Withhold source files, credentials, or documentation until outstanding amounts are paid.
- Recover reasonable collection costs where permitted by law.
- Exercise any other contractual or legal remedies available.
The suspension of services due to non-payment shall not constitute a breach of contract by Analytix9.
21. Deposits
For projects requiring an advance payment, deposits are generally non-refundable unless otherwise required by applicable law or expressly agreed in writing.
Deposits compensate the Company for reserving resources, scheduling work, project planning, discovery, consultations, and administrative efforts.
22. Client Delays
Project timelines depend upon timely cooperation from the Client.
If the Client delays by:
- Failing to provide required information,
- Failing to provide approvals,
- Failing to attend scheduled meetings,
- Failing to provide content,
- Failing to provide access credentials,
- Failing to make payments,
Analytix9 shall not be responsible for resulting project delays.
Where delays continue for an extended period, we reserve the right to:
- Reassign project resources.
- Revise timelines.
- Requote remaining work.
- Close inactive projects.
- Charge reactivation fees where appropriate.
23. Revisions
Unless otherwise agreed in writing, revisions are limited to those specifically included within the agreed scope of work.
Additional revisions, redesigns, strategic changes, or scope expansions may incur additional charges.
Requests made after project approval, launch, or completion may be treated as new work.
24. Change Requests
Clients may request modifications to the original scope.
Examples include:
- Additional website pages.
- New advertising campaigns.
- Additional integrations.
- New functionality.
- Design changes.
- Platform migrations.
- Additional reporting.
- New automation workflows.
Analytix9 reserves the right to:
- Provide a revised quotation.
- Extend delivery timelines.
- Require additional deposits.
- Reject requests that materially alter the agreed project.
25. Project Timelines
Estimated timelines are provided in good faith based on the information available at the time of project planning.
Timelines may be affected by:
- Client delays.
- Third-party approvals.
- Platform outages.
- Regulatory requirements.
- Technical issues.
- Scope changes.
- Force majeure events.
Unless expressly agreed otherwise in writing, project timelines are estimates and are not guaranteed completion dates.
26. Acceptance of Deliverables
Deliverables shall be deemed accepted if:
- The Client expressly approves them.
- The Client begins using them.
- The Client launches the website or campaign.
- The Client fails to provide requested feedback within a reasonable period after delivery.
- Payment for the deliverables is made without raising material objections.
Once accepted, subsequent modifications may be treated as additional services.
27. Website Development Services
Where Analytix9 develops or modifies a website, the Client acknowledges that:
- Modern web browsers may render websites differently.
- Third-party plugins may affect website functionality.
- Hosting environments vary.
- Software updates may affect compatibility.
- Search engine behavior changes over time.
- Website speed depends on multiple factors outside our control, including hosting infrastructure, third-party scripts, visitor devices, and network conditions.
Unless specifically included within the agreed scope, we are not responsible for:
- Ongoing content updates.
- Future plugin compatibility.
- Third-party theme issues.
- Hosting management.
- Domain management.
- Malware introduced by third parties after delivery.
- Changes made by the Client or other developers after project completion.
28. Website Content
Unless otherwise agreed, Clients are responsible for supplying:
- Website text.
- Images.
- Videos.
- Product information.
- Logos.
- Branding assets.
- Legal policies.
- Regulatory disclosures.
The Client warrants that all submitted content:
- Is accurate.
- Is lawful.
- Does not infringe intellectual property rights.
- May legally be used by Analytix9.
We reserve the right to refuse content that appears unlawful, misleading, defamatory, or otherwise inappropriate.
29. Domain Names and Hosting
Unless expressly included in a written agreement, Clients remain solely responsible for:
- Registering domain names.
- Renewing domain names.
- Maintaining hosting accounts.
- DNS configuration.
- SSL certificate renewals.
- Email hosting.
- Server maintenance.
- Backup management.
Where Analytix9 assists with these services, such assistance does not transfer ownership or responsibility to the Company unless expressly agreed in writing.
30. Search Engine Optimization (SEO)
SEO services involve improving the technical and content-related aspects of a website to enhance visibility in search engines.
However, search engine algorithms are proprietary and change frequently.
Accordingly, Analytix9 does not guarantee:
- First-page rankings.
- Specific keyword rankings.
- Traffic volumes.
- Leads.
- Sales.
- Revenue.
- Search engine indexing.
- Featured snippets.
- Local map rankings.
- Position improvements.
SEO performance depends on numerous factors beyond our reasonable control, including:
- Competition.
- Industry trends.
- Search engine algorithm updates.
- Website quality.
- Content relevance.
- Backlink profiles.
- Technical constraints.
- Third-party platforms.
Any estimates or projections are provided for planning purposes only and should not be interpreted as guarantees.
31. Google Ads Services
Where we manage Google Ads campaigns, the Client acknowledges that:
- Google independently determines ad eligibility.
- Google independently determines Quality Scores.
- Google independently determines Ad Rank.
- Google may reject ads or suspend accounts.
- Google may change policies without notice.
- Google controls auction dynamics.
- Google controls ad placement.
- Google controls CPC pricing.
- Google controls search volumes.
Analytix9 cannot guarantee:
- Lead volume.
- Cost per lead.
- Conversion rate.
- Return on ad spend (ROAS).
- Revenue.
- Impression share.
- Click-through rate (CTR).
- Account approval.
- Campaign approval.
- Merchant Center approval.
- Specific advertising outcomes.
Campaign performance depends on many variables outside our control, including competition, seasonality, market demand, user behavior, landing page quality, budget, and Google's systems.
32. Meta (Facebook & Instagram) Advertising
For campaigns managed on Meta platforms:
- Meta independently reviews advertisements.
- Meta may reject advertisements.
- Meta may suspend advertising accounts.
- Meta may restrict Business Managers.
- Meta policies may change at any time.
Analytix9 is not responsible for actions taken by Meta regarding account reviews, policy enforcement, or platform restrictions.
33. Third-Party Platform Policies
Clients are solely responsible for ensuring that their products, services, advertisements, websites, and business practices comply with the terms, policies, and legal requirements of any third-party platform used in connection with our services.
This includes, without limitation:
- Google Ads Policies
- Google Merchant Center Policies
- Meta Advertising Standards
- Microsoft Advertising Policies
- LinkedIn Advertising Policies
- Shopify Terms
- WordPress licensing requirements
- Payment processor requirements
- Applicable consumer protection laws
Our assistance in preparing campaigns, websites, or content does not constitute legal advice or a guarantee of policy compliance.
34. Marketing Performance Disclaimer
Marketing outcomes are influenced by numerous factors beyond the Company's reasonable control.
Accordingly, Analytix9 makes no guarantee regarding:
- Sales.
- Revenue.
- Profitability.
- Customer acquisition.
- Lead quality.
- Market share.
- Business growth.
- Search rankings.
- Social media engagement.
- Viral reach.
- Return on investment (ROI).
- Conversion rates.
Any examples, case studies, forecasts, estimates, testimonials, or performance projections presented by the Company are illustrative only and do not constitute promises or guarantees of future results.
35. Suspension of Services
We reserve the right to suspend or pause services where:
- Invoices remain unpaid.
- The Client materially breaches these Terms.
- Continued work would violate applicable law.
- Third-party platform restrictions prevent continued service.
- Fraudulent or unlawful activity is suspected.
- Required information or cooperation is not provided.
Where practical, reasonable notice will be provided before suspension.
36. Termination by the Client
The Client may terminate services in accordance with the applicable agreement.
Unless otherwise agreed:
- Fees earned prior to termination remain payable.
- Completed work remains billable.
- Third-party costs already incurred remain payable.
- Deposits are subject to the applicable refund policy.
Termination does not automatically transfer ownership of unpaid deliverables.
37. Intellectual Property Rights
Unless otherwise expressly agreed in writing, all intellectual property rights in and to the Company's materials, methodologies, software, documentation, reports, templates, strategies, designs, source code, scripts, graphics, presentations, processes, training materials, and other proprietary content shall remain the exclusive property of Analytix9 or its licensors.
Nothing contained in these Terms transfers ownership of the Company's intellectual property to the Client except where expressly stated in a separate written agreement.
38. Ownership of Client Materials
The Client retains ownership of intellectual property that it lawfully owns and provides to Analytix9, including but not limited to:
- Logos
- Trademarks
- Brand assets
- Marketing materials
- Product images
- Videos
- Written content
- Databases
- Proprietary documents
- Customer data
The Client grants Analytix9 a limited, non-exclusive, worldwide, royalty-free license to use such materials solely for the purpose of performing the agreed services.
This license automatically terminates upon completion or termination of the engagement, except where continued retention is required by law or for archival, accounting, or dispute resolution purposes.
39. Ownership of Deliverables
Unless otherwise agreed in writing and subject to full payment of all outstanding fees:
- The Client will own the final deliverables specifically created for the Client under the applicable agreement.
- Analytix9 retains ownership of all pre-existing materials, proprietary tools, frameworks, templates, know-how, libraries, methodologies, scripts, automation processes, reusable code, and internal documentation used in creating the deliverables.
- Analytix9 may reuse its general knowledge, experience, techniques, and non-confidential methodologies in future engagements.
Ownership of deliverables does not include ownership of third-party software, plugins, stock assets, fonts, APIs, or licensed materials, which remain subject to their respective license terms.
40. Portfolio Rights
Unless the Client expressly requests otherwise in writing before publication, Analytix9 may identify the Client and display completed, publicly available work in its portfolio, website, presentations, proposals, case studies, awards submissions, social media, and marketing materials solely for the purpose of showcasing its services.
We will not intentionally disclose confidential information when exercising these portfolio rights.
41. Confidential Information
Each party acknowledges that, during the course of the engagement, it may receive confidential or proprietary information belonging to the other party.
Confidential Information may include, without limitation:
- Business plans
- Marketing strategies
- Customer information
- Financial information
- Technical documentation
- Source code
- Passwords and credentials
- Pricing information
- Trade secrets
- Product roadmaps
- Internal processes
- Campaign performance reports
Each party agrees to:
- Use Confidential Information only for purposes related to the engagement.
- Protect Confidential Information using reasonable care.
- Restrict disclosure to personnel who have a legitimate business need to know.
- Not disclose Confidential Information to unauthorized third parties without prior written consent, except where required by law.
These obligations shall survive termination of the agreement for so long as the information remains confidential under applicable law.
42. Client Credentials and Access
Where the Client provides login credentials, API keys, administrator access, or similar access to third-party platforms, the Client represents that it has the authority to provide such access.
Analytix9 will use commercially reasonable efforts to safeguard such credentials and will use them solely for the purpose of providing the agreed services.
The Client remains responsible for maintaining the security of its own accounts and should promptly change passwords upon termination of the engagement if desired.
43. Third-Party Intellectual Property
Our services may incorporate third-party software, plugins, APIs, fonts, themes, stock media, or other licensed materials.
Ownership of such third-party intellectual property remains with the respective rights holders and is governed by the applicable third-party license agreements.
The Client is responsible for complying with any ongoing licensing obligations associated with third-party products selected or approved by the Client.
44. Open Source Software
Where deliverables include open-source software, such software shall remain subject to the applicable open-source licenses.
Nothing in these Terms modifies or supersedes the rights and obligations established under those licenses.
45. Warranties
Analytix9 warrants that it will perform its services with reasonable skill, care, and professional diligence consistent with generally accepted industry standards.
Except as expressly stated in these Terms or in a separate written agreement, all services and deliverables are provided on an "as is" and "as available" basis.
To the maximum extent permitted by applicable law, Analytix9 disclaims all other warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Availability
- Compatibility
- Uninterrupted operation
- Error-free performance
46. No Guarantee of Results
Digital marketing, advertising, search engine optimization, website development, analytics, automation, and consulting involve numerous variables outside the Company's control.
Accordingly, Analytix9 does not guarantee:
- Increased revenue
- Increased profits
- Sales volume
- Lead volume
- Conversion rates
- Advertising approval
- Search engine rankings
- Organic traffic growth
- Social media growth
- Merchant Center approval
- Account approval
- Policy approval
- Platform availability
- Business success
Any projections, forecasts, estimates, or examples are illustrative only and should not be interpreted as guarantees.
47. Limitation of Liability
To the fullest extent permitted by applicable law, Analytix9, Adronik Digital Marketing LLP, its partners, directors, officers, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or economic damages arising out of or relating to the use of our Website or services.
This includes, without limitation:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of goodwill
- Loss of anticipated savings
- Loss of data
- Business interruption
- Advertising losses
- Platform suspensions
- Search engine ranking fluctuations
- Loss of customers
- Reputational harm
- Third-party platform actions
To the maximum extent permitted by law, our aggregate liability arising from any claim related to the services shall not exceed the total fees actually paid by the Client to Analytix9 for the specific services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
48. Indemnification
The Client agrees to defend, indemnify, and hold harmless Analytix9, Adronik Digital Marketing LLP, its partners, directors, officers, employees, contractors, affiliates, and agents from and against any claims, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- The Client's breach of these Terms.
- The Client's violation of applicable law.
- The Client's infringement of third-party intellectual property rights.
- Materials or content supplied by the Client.
- Misrepresentations made by the Client.
- The Client's products or services.
- The Client's misuse of deliverables.
- Violations of advertising platform policies attributable to the Client.
49. Force Majeure
Analytix9 shall not be liable for any delay, interruption, or failure to perform obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:
- Natural disasters
- Floods
- Fires
- Earthquakes
- Pandemics
- Epidemics
- Government actions
- War
- Terrorism
- Civil unrest
- Internet outages
- Power failures

Performance shall be suspended for the duration of the force majeure event without liability for resulting delays.

The Client remains solely responsible for ensuring that its business, products, services, claims, advertising content, and website comply with all applicable laws and regulatory requirements.
51. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
Where mandatory consumer protection or privacy laws of another jurisdiction apply, those mandatory provisions shall apply to the extent required by law.
52. Dispute Resolution
The parties agree to first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiations.
